Legal Services Proposal Template

A legal services proposal helps a business choose how to work with its lawyers before anyone signs an engagement letter. This template describes outside general counsel work, offers a monthly flat fee, hourly billing, and a project fee side by side, and explains that representation begins with a signed engagement letter.

Your Situation

[Summarize what you heard, for example: a growing software company with 30 employees and no in-house lawyer, where customer contracts, vendor agreements, and hiring questions are handled as they come up.]

How We'd Work With You

  • One lawyer who knows your business, supported by an associate and a paralegal for routine work at lower rates
  • Answers to most questions within one business day
  • A quarterly call to look ahead at contracts, hiring, and risks before they become urgent

What General Counsel Work Covers

The day-to-day legal work of a growing business: customer and vendor contracts, confidentiality agreements, offer letters and employment policies, corporate records and board consents, and questions as they arise.

Litigation, regulatory investigations, financings, acquisitions, and specialist tax or intellectual property work aren't included. We're happy to quote any of them separately.

Rates

  • Partner: $350 per hour
  • Associate: $225 per hour
  • Paralegal: $125 per hour

Time is recorded in tenths of an hour. Work beyond an arrangement's included hours is billed at these rates.

Payment. The monthly fee is billed in advance on the 1st of each month. Hourly work is billed monthly for the time spent. Project fees are billed 50% at the start and 50% on delivery. Invoices are due within 30 days.

Advance deposit. For hourly work, we ask for an advance deposit of $5,000, held in our client trust account and applied to invoices as they're issued.

Frequently asked questions

What's the difference between a legal fee proposal and an engagement letter?

A proposal helps the client choose a fee arrangement and decide to hire the firm. The engagement letter is the agreement itself, setting out the scope of the representation, fees, and terms. Most firms begin work only once the engagement letter is signed.

Can a law firm charge a monthly flat fee for general counsel work?

Many firms do, for ongoing advice to a business. How advance and flat fees must be described, held, and refunded varies by state, so check the rules where you practice before you send one.

Is this legal services proposal template free?

Yes. Read and copy the full text on this page, or edit it online and see it as your client will. When it's ready, start a free Clientary trial to send it or download it as a PDF.

Has a lawyer reviewed this template?

No. It's a general starting point written by Clientary, not legal advice, and it hasn't been reviewed by a lawyer for your situation or the laws where you and your client work. Have your own counsel review it before you use or sign it.
